	SERVICE AGREEMENT: ACCOUNT SETUP- Eagle Teleconferencing Services, Inc. agrees to set up an account at no charge for conference calls. CONTENT- Customer shall be solely responsible for the content of the conference call. Customer will not (a.) violate any law, statute, ordinance or regulation (including without limitation the laws and regulations governing export control); (b) be defamatory, trade libelous, unlawfully threatening or unlawfully harassing; Customer will indemnify and hold harmless Eagle, its employees, directors, officers, representatives, and agents from and against any and all liabilities, claims, suits, losses, damages, costs, fees and expenses (including attorneys fees) brought against or incurred by Eagle that arise from or relate to any breach of the forgoing warranty. CHARGES- Customer agrees to pay the usage rates for the services customer has ordered, as outlined in attached or future exhibits and agreed upon by both customer and company. All charges are for domestic use only. International rates vary depending on the country and will be charged accordingly. Customer agrees to pay all costs incurred by Eagle Teleconferencing Services, Inc. in collecting overdue charges, including attorney�s fees. CONFIDENTIAL INFORMATION- Customer understands and agrees that all confidential information shall remain the exclusive property of Eagle Teleconferencing Services, Inc. Confidential information shall not be copied, published, or disclosed to others. TERM- The term of this agreement shall be for one (1) year, commencing on the date this Agreement is signed by both parties. Thereafter, this Agreement shall be automatically renewed for successive one (1) year periods unless either party gives thirty (30) days written notice. ASSIGNMENT- Eagle Teleconferencing Services, Inc. shall have the right to assign this Service Agreement at anytime without prior notification. GOVERNING LAWS- This Agreement shall be governed by and construed in accordance with the laws of the state of Illinois. Any claim brought against Eagle Teleconferencing Services, Inc. must be filed in Schuyler County, Illinois courts. INDEMNIFICATION- Each party agrees to indemnify and hold harmless the other from any and all expenses, liabilities, debts, costs, claims, demands, sums of money and other amounts (including but not limited to all reasonable attorney�s fees incurred in defending or handling any proceeding, lawsuit or claim) asserted against or incurred by the indemnified party as a result of any act of conduct or admission of such indemnifying party, except to the extent explicitly provided for herein. LIMITATION OF LIABILITY- Eagle Teleconferencing Services, Inc. shall not be liable to the customer or any other entity for any loss or injury that may occur due to causes beyond the reasonable control of Eagle Teleconferencing Services, Inc. The sole liability of Eagle Teleconferencing Services, Inc. for any defect in service is limited to the amount of any charges for the defective service, and limited to the amount charged for that specific call. CANCELLATIONS- All customer requests to terminate service with Eagle Teleconferencing Services, Inc. require thirty (30) days written notice. Eagle Teleconferencing Services, Inc. reserves the right to terminate this Agreement without notice in the event of non payment or other infraction by customer of the terms of this Agreement. Any modification or amendment to this agreement shall be in writing, sent by certified mail. Designated Contact: Listed below is each Party�s �Designated Contact� for the cancellation of this Agreement. ATTACHMENT A PAYMENT ADDENDUM 1. PAYMENT SCHEDULE Client shall receive an invoice from ETSI for all charges incurred during the previous thirty (30) day period. Client shall remit all payments thirty (30) days from the date of the invoice equal to the amount of the invoice. Unpaid account balance over thirty (30) days will be assessed a late charge of 1.5% per month. If invoice is not paid in 30 days ETSI reserves the right to immediately deny service to the client. 2. CHARGES: The Client agrees to pay the usage rates for the services the client has ordered from ETSI, as outlined in this payment schedule and agreed upon by both, client and ETSI. 3. RATES FOR AUDIO CONFERENCING DEDICATED 800 SERVICE: (a.) $0.15 per minute per location for Meet-Me 800 Automated services for each line used by ETSI on behalf of Client. Client will have their own dedicated 800 number assigned to them. Calls will be scheduled in the system 24 hours a day 7 days a week. Client will pay for all usage on 800 number. 4.OPTIONAL SERVICES: (a) Recording conference calls: $15.00 per 30 minute conference. Billing will be done in 30 minute increments. (b) Playback conference call: $15.00 per 30 minute conference. Billing will be done in 30 minute increments.
